Company Formation
Formation is not a single transaction but a chain of applications. If the order breaks, the process waits; so we run the steps in sequence and tell you where things stand at each stage.
Before formation
- Choosing the company type — sole proprietorship, limited or joint stock — together, based on your activity, the number of shareholders and the tax burden
- Selecting the field of activity and the NACE code
- Deciding the capital, the shareholding structure and the management
- Establishing in advance which authority requires what, if your activity is subject to a licence or permit
Formation steps
- Trade name search and reservation
- Drafting the articles of association and registration with the trade registry
- Tax office registration and the inspection visit
- Chamber of commerce or tradesmen's chamber registration
- Signature circular, bank account and, where required, blocking of the capital
- Opening the social security workplace file if you will employ staff
- Financial seal, e-invoice and e-archive applications
- Municipal business opening and operating licence
After formation
When formation is complete your file is opened in our tracking system: which returns you are liable for, your first filing period and the status of your ledger certification are defined. The deadlines of the first period are sent to you with a calendar. All formation documents — registry gazette, tax certificate, chamber registration, licence — are kept in your digital archive.
